Terms of Service
Effective
Cohort is a product of Collective Matrix, Inc. These Terms of Service ("Terms") govern access to and use of Cohort and related services (the "Service"). By using the Service, you agree to these Terms. If you use Cohort for an organization, you represent that you may bind that organization. A separate written agreement with us controls if it conflicts with these Terms.
Service and accounts
Cohort provides talent-lifecycle, recruiting, workforce, communication, and related administrative tools. You must provide accurate information, protect account credentials, use only accounts you are authorized to use, and promptly report suspected unauthorized access. Your organization controls its users, configuration, and use of the Service.
Customer data
As between you and us, you retain rights in data submitted to Cohort. You grant us the limited rights needed to host, process, transmit, secure, and support that data and the Service. You are responsible for having a lawful basis and any required notices or permissions for data you submit, including candidate, employee, contact, and communication data. We support customer-directed export and deletion as required by the applicable agreement and law, subject to access controls, technical feasibility, legal and security retention duties, and limited residual backup copies that are isolated until overwritten.
Acceptable use
Do not use the Service unlawfully; infringe others' rights; submit malicious code; probe, disrupt, or evade security or usage controls; access data without authorization; misrepresent identity or affiliation; send unlawful, deceptive, or unsolicited communications; or help anyone do those things. You may not reverse engineer or copy the Service except where law expressly permits it.
Ownership and feedback
We and our licensors own the Service, software, documentation, branding, and related intellectual property. These Terms give you a limited, nonexclusive, nontransferable right to use the Service while authorized. If you provide feedback, we may use it without restriction or obligation.
Third-party services
Cohort may interoperate with services selected by you or your organization. Their terms and privacy practices govern their services, and we are not responsible for third-party products outside our control.
SMS program terms
If you expressly opt in, Cohort may send recurring security and interview notification texts to your verified mobile number. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchasing, using, or receiving the Service. Reply STOP to opt out and HELP for help. You may also disable SMS in your Cohort notification preferences. SMS is not an emergency channel; do not rely on it for urgent or emergency communications. Carriers are not liable for delayed or undelivered messages. You must be the subscriber or customary user of the number and notify your organization before changing or relinquishing it. We may change or end the SMS program and may block messages when required for safety, compliance, or carrier rules. See our Privacy Policy for how mobile information and consent records are handled.
Suspension and termination
You may stop using Cohort at any time. We may suspend or terminate access for a material breach, security or legal risk, nonpayment, or discontinuation of the Service. Provisions that by their nature should survive will survive, including ownership, disclaimers, liability limits, and indemnity.
Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted or error-free operation, employment outcomes, or the accuracy of customer or third-party data.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. Our aggregate liability arising from the Service will not exceed the amount paid for the Service during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or where a separate agreement states otherwise.
Indemnity
To the extent permitted by law, you will defend and indemnify us from third-party claims arising from your customer data, your unlawful or unauthorized use of the Service, or your violation of these Terms or another person's rights.
Governing law
Virginia law governs these Terms without regard to conflict-of-law rules. State and federal courts located in Virginia have exclusive jurisdiction, unless a separate written agreement or applicable law requires otherwise.
General terms
If part of these Terms is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, reorganization, or transfer of the Service. These Terms and any applicable written service agreement are the entire agreement about their subject matter and replace prior understandings about it.
Changes
We may update these Terms. We will post the updated version and revise its effective date; material changes may also be communicated through the Service. Continued use after the effective date means you accept the updated Terms.
